WebbFact sheet 37: Execution clauses If the corporation chooses to execute a document using its common seal then usually the common seal must be affixed in the presence of: • 2 directors of the corporation • a director and a corporation secretary of the corporation or • for corporations with only 1 director, by that director. WebbIf the seal is not affixed, then the full name of the company and its Australian company number must be shown adjacent to the execution. An execution by a company in this manner does not need to be witnessed. The designations of the signatories must also be shown.
